Superior Court Invalidates “Sneaky”, “Unfair” Proxy Form

In a precedential decision released on August 4, 2016, the Ontario Superior Court invalidated the proxy form the Ontario Medical Association (“OMA”) intended to use at an upcoming contentious general meeting of its members and ordered the OMA to distribute a revised proxy form. The Court held that the OMA’s form was “sneaky”, “unhelpful, unclear, unbalanced, and unfair”, and would result in a meeting that could not be fairly conducted. Eric Hoaken and Andrew Winton argued the application on behalf of concerned members of the OMA who had previously forced the OMA to call the general meeting. The Court’s decision can be found here.
