LOLG Successfully Upholds Rogers Shareholders Resolution

Back to all news On Friday, November 5, 2021, the BC Supreme Court, in a much anticipated decision, confirmed the validity and enforceability of a shareholders resolution submitted by Mr. Edward Rogers on behalf of the Rogers Control Trust, reconstituting the Board of Rogers Communications Inc.  The decision is significant in confirming the ability of a controlling shareholder to remove and appoint directors by way of a consent resolution without the formality of a shareholder meeting. Jonathan Lisus, Crawford Smith, Matthew Law, Lars Brusven, and Joseph Stonehouse acted for Mr. Rogers, together with Vancouver counsel Ken McEwan, Q.C. and Emily Kirkpatrick.
